AHNA Bylaws
 


These are the bylaws of the Atlantic Heights Neighborhood Association (AHNA). Participation in the AHNA is completely voluntary and is open to all residents of Atlantic Heights. No dues or fees are required to participate.

Article 1 Area

The area which we serve under the auspices of the Atlantic Heights Neighborhood Association will be limited to those streets considered the Atlantic Heights proper, which are north of the railroad over pass and Kearsarge Way from the traffic lights at Market Street Extension, Mangrove Street, Oak Street, Birch Street, Orange Street, and any other public way that connects to Kearsarge Way. The Atlantic Heights proper is Kearsarge Way as previously noted, Crescent Way, Preble Way, Porpoise Way, Porpoise Lane, Concord Way, Raleigh Way, Ranger Way, Saratoga Way, Falkland Way and Bedford Way.

Article 2 Who Can Vote

Any natural person, i.e. not a corporation or other business entity, that resides in or owns residential property as described in Article 1, and is over the age of eighteen shall have the right to cast his or her vote pursuant to business presented at the monthly meeting of the Atlantic Heights Neighborhood Association. You must be present at the General Members Meeting to cast your vote and no proxy votes are allowed. (As amended 3/7/2000)

Article 3 Who Can Address The Assembly

Any individual or business entity having an interest in the Atlantic heights As described in article 1 may attend and offer comment and observations to business presented at the monthly meeting of the Atlantic Heights Neighborhood Association.

Article 4 When Are The Meetings

The Atlantic Heights Neighborhood Association will hold a monthly meeting on the first Saturday of each month. This meeting is held at the Senior Housing Facility, 40 Bedford Way, Portsmouth, New Hampshire. Meetings will begin promptly at 10 AM. These meetings will be known As the Atlantic Heights Neighborhood Association Monthly General Membership Meeting. (As amended 3/7/2000)

Article 5 Business Can Be Conducted

A quorum must be present to conduct any business at the Monthly general Meeting. A quorum will exist when at least five voters As described in article 2 are present. The members that serve on the Board of Directors will not be counted when calculating the number for a quorum.

Article 6 All Volunteers

No member will receive compensation for their activities with the Atlantic Heights Neighborhood Association.

  • 6a. Any expense undertaken by a member of this organization will be considered a donation to the organization and not reimbursable.

Article 7 Where Are We

Atlantic Heights Neighborhood Association will maintain an address of PO Box 3202. All mail will be received pursuant to the Atlantic Heights Neighborhood Association at this address and will be marked by the secretary with the date the mail is physically opened by the secretary. This will become the date of receipt for the mail. No person shall use this address to receive private mail. (As amended 3/7/2000)

Article 8 How We Change

At our monthly General Membership Meeting and in the presence of a quorum As described by article 5 of this document, a simple majority will prevail to promote any business undertaken at said meeting with the exception of a change in the organizational bylaws which require a 2/3 majority for passage.

Article 9 Acceptance Of Donations

No general member shall accept on behalf of the Atlantic Heights Neighborhood Association any monetary donation. Only an Officer of the Atlantic Heights Neighborhood Association can receive monetary donations and all monetary donations shall be presented to the Treasurer at the following Board of Directors Meeting and at the next General Membership Meeting.

Article 10 Spending Money

Expenses to operate the day to day functions of the Atlantic Heights Neighborhood Association will be authorized by the Board of Directors As is appropriate. All monetary accounts will require the signature of two officers of the Board of Directors and any of these expenses approved by the Board of Directors As indicated for the daily operation of the Atlantic Heights Neighborhood Association will be approved to the limit the board of Directors can spend unilaterally for the day to day operation of the Atlantic Heights Neighborhood Association. As the expenses that are necessary to operate on a day to day basis may change from time to time the membership will evaluate on a quarterly basis that amount which the Board of Directors can spend without the approval of the General Membership. Initially we will set $15.00 limit for the months of July, August, and September 1998.

Article 11 Responsibilities

At the April meeting of the Atlantic Heights Neighborhood Association nominations will be made to the Atlantic Heights Neighborhood Association, Board of Directors. The Board of directors shall consist of a chairperson, a co-chairperson, a treasurer, a secretary, and a senior housing representative.

  • 11a. The Chairperson shall be responsible for, among other things, the marketing/promotion of the association. Shall submit a monthly contribution to the newsletter. Shall preside over all meetings pursuant to the business of the Atlantic Heights Neighborhood Association.

  • 11b. The Co-Chairperson shall be responsible for, among other things, to fulfill the duties of chairperson during his or her absence. To assist the chairperson in whatever is necessary to continue the business of the Atlantic Heights Neighborhood Association. The Co-Chairperson shall be responsible for the preparation of the monthly newsletter.

  • 11c. The Treasurer shall be responsible for, among other things, to fulfill the duties of the chairperson and/or co-chairperson during their absence. The treasurer shall also be responsible for a monthly financial report outlining income, expenses, and the present balance of any and all bank accounts held by the Atlantic Heights Neighborhood Association and to prepare for the General Membership, an annual operating budget.   • 11d. The Secretary shall be responsible for, among other things, the taking of the minutes of each meeting. Secretary shall be responsible for the upkeep of the meeting attendance log and the membership database collection and documenting receipt of mail.

  • 11e. The Senior Housing Representative shall be responsible for acting As a liaison between those individuals who resides at the Senior Housing Facility, 40 Bedford Way, Portsmouth, New Hampshire and the Atlantic Heights Neighborhood Association.

Article 12 Election

At the may meeting of the Atlantic Heights Neighborhood Association a vote will be held to elect officers As described in article 11 a, b, c, d, and e. (As amended 3/7/2000)

Article 13 Terms

The term of those individuals elected to the Atlantic Heights Neighborhood Association Board of Directors will be one year commencing with the swearing in ceremony at the June General Membership Meeting.

Article 14 Swearing In

The officers elected pursuant to article 11 will assume office at the June meeting and be sworn in by a former officer of the Atlantic Heights Neighborhood Association or city official.

Article 15 Code Of Conduct

Any individual elected to the Board of Directors of the Atlantic Heights Neighborhood Association pursuant to article 11 will adhere to the code of conduct described in their oath of office.

Article 16 Limit Of Liability

All officers of the Atlantic Heights Neighborhood Association will sign a limit of liability document pursuant to NHRSA 508:17. These documents will be maintained by the Secretary of the Atlantic Heights Neighborhood Association.

Article 17 Replacements

Any officer who misses three consecutive meetings will be deemed to have vacated their position and a replacement will be named by the remaining officers. This replacement will serve until the conclusion of the original director's term. (As amended 3/7/2000)

Article 18 Adding To The Agenda

At the close of each monthly meeting the Atlantic Heights Neighborhood Association will set the agenda for the following meeting. Should an individual wishing to bring business before the meeting be unable to attend the previous monthly meeting to add an issue to the agenda must write to the Atlantic Heights Neighborhood Association with their request, post marked no later then the 3rd Tuesday of the month. Any agenda request properly submitted and received will be added to the following Monthly General Membership Meeting. (As amended 3/7/2000)

Article 19 Donations

Any expense undertaken by a member of this organization will be considered a donation to the organization and will not be reimbursed. Donations are accepted in lieu of any dues. (As amended 3/7/2000)

Article 20 Fiscal Year

Our fiscal year will operate fro June to May, and coincide with the terms of the board of Directors.

Article 21 Assets

Any asset acquired by the organization will be donated to the Senior housing Facility, for their use at the dissolving of the Atlantic Heights Neighborhood Association.

Article 22 Special Authority

The Board of Directors of the Atlantic Heights Neighborhood Association may, at their discretion, vote to invoke this special authority to answer immediately unforeseen circumstances which have not been duly addressed in this document.

Article 23 No Political Endorsement

We shall, as an organization not endorse any elected government official or anyone seeking election or re election as we are a nonpolitical organization. We can, as an organization, endorse and otherwise support specific agendas and ideas. We cannot offer our blanket endorsement of a party or parties platform.
